OFFICIAL RULES - VOID WHERE PROHIBITED BY LAW
Sponsor. These contests (each a "Contest" and together the "Contests") are sponsored by ChatThreads Corporation, 1318 Beacon Street, Suite 9, Brookline, MA 02446 USA USA ("ChatThreads" or "Sponsor").
Contest Period. Entry to a Contest must be submitted no later than the end date for the applicable Contest specified above (each an �End Date�). The period of time starting from 12:01 a.m. on the start date of the applicable Contest up to 11:59 p.m. on the End Date of that Contest is referred to herein as the �Contest Period�.
Eligibility. Each Contest is open to Canadian
residents (other than residents of Quebec) who are 18 years of age or
older at the time of entry (or in the case of legal residents of
jurisdictions where the age of majority is greater than 18 years of
age, such age of majority under the laws of the jurisdiction in which
they reside at the time of entry). Limit four entries per Contest per
person and/or e-mail address. Individuals directly participating in a
word of mouth marketing program through an affiliation with a marketing
company and/or who receive a Zune� as part of the program ("Program
Participants") are not eligible to enter a Contest associated with that
particular marketing program.
Persons who have requested to have ChatThreads make a donation
to charity rather than enter the Contest are not eligible to enter the
Contest, either online or by a mail-in entry.
Employees, officers, directors, agents, representatives and
independent contractors (and their immediate family members and members
of the same households (whether related or not) of Sponsor, its
advertising and promotion agencies, manufacturers or distributors of
Contest materials, and their respective parents, subsidiaries and
affiliated companies are not eligible to participate.
Subject to all federal, state and local laws and regulations.
Persons who have requested to have ChatThreads make a donation to charity rather than enter the Contest are not eligible to enter the Contest, either online or by a mail-in entry.
Employees, officers, directors, agents, representatives and independent contractors (and their immediate family members and members of the same households (whether related or not) of Sponsor, its advertising and promotion agencies, manufacturers or distributors of Contest materials, and their respective parents, subsidiaries and affiliated companies are not eligible to participate.
Application of Official Rules. By submitting an entry, the contestant agrees to be bound by these Official Rules. Contestants further agree that Sponsor shall retain full authority, in its sole discretion, to interpret and administer these Official Rules, and they will be bound by all decisions and interpretations made in good faith by Sponsor regarding the Contests, whose decisions shall be final and binding in all respects.
Entry. . NO PURCHASE OR COMPLETION OF ANY SURVEY NECESSARY TO ENTER OR WIN. COMPLETION OF A SURVEY WILL NOT INCREASE YOUR CHANCES OF WINNING. YOUR CHANCES OF WINNING BY MAIL-IN WITHOUT COMPLETING A SURVEY ARE THE SAME AS THE CHANCES OF SOMEONE WHO COMPLETES THE ONLINE CONTESTS SURVEY.

complete the Contest Surveys during the applicable Contest Period.
Contestants can enter the Contest by indicating they desire to do so at
the end of the Survey. If you wish to enter the Contest without
completing the Contest survey, please use the mail-in entry option
described below.
If there is a dispute over the identity of an online participant, the entry will be deemed submitted by the Authorized Account Holder regardless of the individual that submitted the entry. �Authorized Account Holder� is defined as the natural person who is assigned an e-mail address by an Internet access provider, online service provider or other organization (e.g. business, educational, institution, etc.) responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. - Mail-in Entries: � Mail-in Entries: To enter a Contest, print your name, address, date of birth, e-mail address (if applicable), Conversation ID (if applicable), the name of the brand you talked about, the Contest�s End Date and the prize for which you wish to enter and mail to �ChatThreads Corporation, 1318 Beacon Street, Suite 9, Brookline, MA 02446 USA, Attn. Contest in a postage prepaid envelope. Your entry must be post-marked on or prior to the End Date and received by Sponsor within ten (10) days following the End Date. Proof of sending will not be deemed to be proof of receipt by Sponsor.
Your entry to a Weekly Contests automatically enters you to all of the Weekly Contests remaining in the Contests Period and to the Grand Prize Contest. Contests entries become the property of Sponsor. Limit four entries (per Contests) per person and/or e-mail address. Contest entries become the property of Sponsor. Neither Sponsor nor its advertising and promotion agencies are responsible for lost, late, incomplete, illegible, mutilated, inaccurate, misdirected, stolen or postage due entries or mail, or for any problems of any kind whether mechanical, human or electronic, including, but not limited to, computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, failures, connections, availability or garbled or jumbled transmissions, or service provider/Internet/web site/use net accessibility or availability, traffic congestion, or unauthorized human intervention. Sponsor reserves the right to suspend or terminate any sweepstakes in the event of any such problem.
Information Contained in Entry. . By submitting an entry, each Contest participant represents and warrants to Sponsor that the information contained in the entry is true and correct in all material respects and that Sponsor may rely on such information in their efforts to comply with applicable laws and regulations. It is contestant�s sole responsibility to notify Sponsor in writing if their contact information, including e-mail address (if applicable), changes.
Data Collection. Information submitted in connection with the Contest will be treated in accordance with these Official Rules and Sponsor’s Privacy Policy (as may be amended from time to time), currently located at https://www.chatthreads.com/privacy_policy/; provided, that in the event of any conflict between these Official Rules and such Privacy Policy, the terms and conditions of these Official Rules shall prevail.
Prizes.A description of the prize available to
be won is set out above at the top of the Rules and and The Weekly
Sweepstakes Prizes and Grand Prize described above are collectively
referred to as the "Prizes".
The number of Weekly Contests Prizes available to be won
corresponds to the number of weeks (full seven days; partial days are
not rounded up) in the Contests Period. Notwithstanding the foregoing,
the number of prizes to be won has been capped, as shown at the
beginning of these Rules.
Winners are solely responsible for any costs and expenses in
connection with the Prizes that are not specified herein, including
without limitation all applicable federal, state and local taxes. If by
reason of any error (relating to electronic transmission, technical or
human errors or otherwise), more prizes are claimed than the number set
forth herein, all persons making valid claims will be included in a
random drawing for the number of prizes stated. Prizes may not be
transferred or assigned. No cash value or substitution of any prize
will be permitted or provided, except that Sponsor, in its sole
discretion, may provide a prize of comparable or greater value.
Drawing/Odds of Winning. Winners for the Weekly
Contests Prizes will be selected each full week during the applicable
Contests Period in a random drawing from all eligible entries received
by representatives of Sponsor, whose decisions are final in all matters
relating to the Sweepstakes. Drawing for the Grand Prize will be held
no later than 90 days after the applicable End Date. There will be a
separate drawing for each Contests. For each Contests, odds of winning
a Prize depend on number of eligible entries received. Each eligible
Contests participant may only win one Weekly Contests Prize and the
Grand Prize.
Winners will be required to complete an Affidavit of Eligibility and
Release, and such other documents as Sponsor may reasonably require,
and return these documents within 10 days of delivery. If these
documents are returned as undeliverable or are not completed and
returned by such deadline or if a potential winner does not meet the
eligibility or other requirements of the Contest, the prize will be
forfeited and an alternate winner may be selected. Prizes will be
awarded within 30 days after receipt by Sponsor of the executed
Affidavit of Eligibility and Release, and such other documents as
Sponsor may reasonably require.
Sponsor is not responsible for prize information or documents that are lost or misdelivered by the postal service or carrier.
By completing the Affidavit of Eligibility and Release, the
winners grant permission to the use of their names, addresses and
Conversation IDs for advertising and promotional purposes for this and
similar promotions without additional compensation except where
required by law. Prizes are not transferable.
Non-compliance with these Official Rules or undeliverable
notification may result in disqualification and selection of an
alternate winner.
Awarding of Prizes. Winners of a Contest will be notified by e-mail within 15 days of the drawing. Winners without an e-mail address will be notified via postal mail at the address provided in their entries. Sponsor reserves the right to require winners to show proof of identity prior to receiving prizes.
Winners will be required to complete an Affidavit of Eligibility and Release, and such other documents as Sponsor may reasonably require, and return these documents within 10 days of delivery. If these documents are returned as undeliverable or are not completed and returned by such deadline or if a potential winner does not meet the eligibility or other requirements of the Contest, the prize will be forfeited and an alternate winner may be selected. Announcement of Winners. Sponsor will post the name and address of the winners at https://www.chatthreads.com/winners following the completion of the Contest.
Unlawful Conduct and Disqualification. Sponsor reserves the right, in its sole discretion, to disqualify any Contest participant who Sponsor determines, in its sole discretion (a) tampered with the entry process or the operation of a Contest or of any website owned, operated or controlled by Sponsor or its parent, subsidiaries or affiliated companies; (b) was ineligible to participate in the applicable Contest; (c) submitted more than the allowed number of entries; (d) behaved in a non-sportsmanlike or disruptive manner or with intent to annoy, abuse, threaten or harass any other person; or (e) otherwise acted in an unlawful manner and/or in violation of these Official Rules. Robotic, automated, programmed, or computer generated entries or mechanical reproductions are prohibited, and any use of such devices or entry methods will cause disqualification. Any attempt by a participant to deliberately damage any website or undermine the legitimate operations of a Contest is a violation of criminal and civil laws. Should such an attempt be made, Sponsor reserves the right to seek damages from any such participant to the fullest extent permitted by law and to disqualify such participant from any Contests.
Severability. If any one or more provisions of these Official Rules are held to be invalid, illegal or unenforceable by a court of competent jurisdiction, such invalidity, illegality or unenforceability shall not affect the validity, effect or enforcement of any other provision or provisions of these Official Rules.
Indemnity. By participating in a Contest, you agree to release and hold harmless Sponsor, its clients, its advertising and promotion agencies, manufacturers or distributors of Contest materials, the entities whose names or brands appear in any Contest Survey, their respective parents, subsidiaries and affiliated, and all of their respective officers, directors, shareholders, employees, affiliates, representatives and agents from any and all losses, damages, rights, claims, actions and proceedings of any kind arising out of or relating to the applicable Contest or resulting from acceptance, possession, use, or misuse of any prize, including, without limitation, personal injuries, death, and property damage, and any claims based on publicity rights, defamation, or invasion of privacy.
Dispute Resolution. Any and all disputes, claims and causes of action arising out of or connected with a Contest, including, without limitation, relating to any prizes awarded or not awarded, shall be resolved individually, without resort to any form of class action, and exclusively by binding arbitration in Boston, Massachusetts, by a single arbitrator in accordance with the Commercial Arbitration Rules of the American Arbitration Association ("AAA"). Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorneys’ fees.
Cancellation. A Contest may be modified, canceled, terminated or suspended in whole or in part without prior notice for any reason, including, without limitation, computer virus, bugs, non-authorized human intervention, mechanical or electronic problems or other causes beyond the control of Sponsor which corrupt or impair the administration, security, fairness or proper play of a Contest. In the event of early termination of a Contest, all prizes will be awarded in a random drawing from among all eligible entries received through the date on which the Contest is terminated to the extent practicable, as determined by Sponsor in its sole discretion.

Contest Winners, or by sending an e-mail request to winners@chatthreads.com and specify Winners List, and End Date
Governing Law. These Official Rules are governed by and shall be construed by the laws of the Commonwealth of Massachusetts, without application of its choice of law principles.
DISCLAIMER/LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, SHALL SPONSOR, ITS CLIENTS, ITS ADVERTISING AND PROMOTION AGENCIES, MANUFACTURERS OR DISTRIBUTORS OF CONTEST MATERIALS, THE ENTITIES WHOSE NAMES OR BRANDS APPEAR IN ANY SURVEY, THEIR RESPECTIVE PARENTS, SUBSIDIARIES AND AFFILIATED, THEIR SUCCESSORS OR ASSIGNS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE LIABLE FOR ANY DIRECT, INCIDENTAL, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES, OR EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONJUNCTION OR CONNECTION WITH YOUR PARTICIPATION IN A CONTEST, POSTING ON OR ACCESS AND/OR DOWNLOAD OF ANY MATERIALS OR INFORMATION FROM ANY WEB SITE OWNED, OPERATED OR CONTROLLED BY SPONSOR AND/OR ANY PRIZE (INCLUDING, BUT NOT LIMITED TO, ITS ACCEPTANCE OR USAGE) AWARDED TO YOU IN CONNECTION WITH A CONTEST, INCLUDING WITHOUT LIMITATION DAMAGE TO PROPERTY AND, TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAMAGES FOR BODILY OR PERSONAL INJURY, INCLUDING DEATH, EVEN IF SPONSOR, ITS CLIENTS, ITS ADVERTISING AND PROMOTION AGENCIES, MANUFACTURERS OR DISTRIBUTORS OF CONTEST MATERIALS, THE ENTITIES WHOSE NAMES OR BRANDS APPEAR IN ANY CONTEST SURVEY, THEIR RESPECTIVE PARENTS, SUBSIDIARIES AND AFFILIATED, THEIR SUCCESSORS OR ASSIGNS, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, REPRESENTATIVES AND AGENTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSS. YOU AGREE THAT THE AGGREGATE LIABILITY, IF ANY, OF SPONSOR ARISING OUT OF ANY KIND OF CLAIM (WHETHER IN CONTRACT, TORT, OR OTHERWISE) SHALL NOT EXCEED $1.00.
Force Majeure. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, terrorism, fire, riot, earthquake, actions of governmental authorities outside the control of Sponsor or other force majeure event shall not be considered a breach of these Official Rules.
